Terms of Service

1. Agreement to Terms

By accessing or using openz.studio (the "Service"), you agree to be bound by these Terms and all applicable laws. If you are using the Service on behalf of a company or organization, you confirm that you have authority to bind that entity to these Terms.

IF YOU DO NOT AGREE WITH THESE TERMS, DO NOT USE THE SERVICE.

2. Eligibility

You must be at least 16 years old (13 in the United States) to use the Service. You represent that you meet this requirement and have the legal capacity to enter into these Terms.

3. Accounts

3.1 Registration

To access certain features, you must create an account and provide accurate information.

3.2 Security

You are responsible for your account credentials. You agree to keep them confidential and notify us immediately of unauthorized access.

3.3 Account Types

• Student accounts
• Instructor accounts
• Admin accounts

4. Instructor Terms

4.1 Verification

Instructors may be required to verify identity, qualifications, or business information.

4.2 Responsibilities

Instructors agree to teach safely and professionally, follow laws, start on time, respect users, and maintain accurate pricing and cancellation rules.

4.3 Instructor Content

Instructors keep ownership of all content they upload. By uploading content, they grant Openz a license to use it for platform operation and promotion.

4.4 Membership Plans

Instructor plans include limits and pricing which may change over time.

5. Students

5.1 Bookings

By booking a class, students agree to follow instructor rules and pay listed prices.

5.2 Health

Students acknowledge the risks involved in physical activity. Openz and instructors are not responsible for injuries or health issues.

6. Payments, Revenue, and Refunds

6.1 Payment Processing

Payments are handled through Stripe. By purchasing, you authorize Openz and Stripe to charge your payment method.

6.2 Marketplace Revenue Model

• Openz is an intermediary marketplace.
• Instructors are the actual providers of the classes and materials sold on the platform.
• Student payments are collected on behalf of instructors.
• Instructor earnings are not revenue of Openz. Openz only retains its platform commission.
• Instructors are responsible for taxes on their earnings. Openz is responsible only for taxes on its own commission and subscription revenue.

6.3 Stripe Connect Supported Countries

• Payments are split automatically at checkout.
• Instructor share goes directly to the instructor Stripe account.
• Platform fee goes directly to Openz.
• Openz never holds instructor funds in these cases.

6.4 Non Connect Countries including Turkey

• For instructors in countries where Stripe Connect payouts are not available, such as Turkey:
• Student payments are collected temporarily by Openz on behalf of the instructor.
• Openz deducts its platform commission.
• Remaining instructor revenue is paid out via Wise or bank transfer.
• Instructor funds remain the property of the instructor at all times.
• Instructors in these countries are not required to issue invoices to Openz since these earnings are not payments for services provided to Openz.

6.5 Refund Policies

• Membership refunds available within 7 days if unused.
• Class refunds follow instructor rules.
• Subscriptions may be refunded pro rata.
• Platform fees are non refundable after a class occurs.

6.6 Cancellations

• Instructor cancellations may trigger refunds or penalties.
• Students must follow the instructor cancellation policy.

6.7 Payment Disputes

If you believe a charge is incorrect, email info@openz.studio within 30 days.

7. Prohibited Conduct

Users may not violate laws, upload harmful content, harass others, scrape data, reverse engineer the platform, bypass payments, or share recordings without permission.

8. Intellectual Property

Platform design, branding, and code belong to Openz. User uploaded content remains user owned but licensed to Openz for operational use.

9. Privacy

Your use of Openz is governed by our Privacy Policy.

10. Third Party Services

The Service integrates with Stripe, Daily, Google, and others. Use of these services is subject to their terms.

11. Disclaimers

The Service is provided as is. Openz does not guarantee uninterrupted access or class quality. Openz is not responsible for injuries, behavior of instructors or students, technical failures, or disputes.

12. Limitation of Liability

Openz is not liable for indirect or consequential damages. Total liability is capped at the amount you paid to Openz in the past 12 months or one hundred euro.

13. Indemnification

Users agree to indemnify Openz for claims arising from their actions, content, or violation of these Terms.

14. Termination

14.1 By You

You may close your account at any time.

14.2 By Us

We may suspend or terminate accounts for violations, fraud, or risks to the platform.

15. Governing Law and Disputes

These Terms are governed by Dutch law. Disputes will be handled in Amsterdam courts unless arbitration is mutually agreed for smaller claims.

16. Changes to Terms

We may update these Terms. Material changes will be communicated. Continued use after updates means acceptance.
